1. I hereby represent that I am, or am acting on behalf of, either: an “accredited investor,” as such term is defined in Regulation D of the Securities of 1933, as amended; or a “qualified purchaser,” as such term is defined in Section 2(a)(51) of the Investment Company Act of 1940, as amended.
2. I further understand that, prior to admission as a limited partner of the Fund, I will be asked to provide certain information to the General Partner of the Fund that is intended to confirm my status as an accredited investor or qualified purchaser, as applicable.
3. The terms of the offering of interests in the Fund is governed by the private placement memorandum of the Fund and the limited partnership agreement of the Fund, as each may be amended from time to time.
